Terms of Service

1. Purpose & Provider

These Terms govern your use of the Collabby service (collabby.ai, the "Service") operated by Vifork (바이포크), Representative: Inyoung An, Business Registration No. 139-06-21251 (the "Company"). Payments are billed and settled by Lemon Squeezy, LLC as our authorized reseller and Merchant of Record; the Service itself and your statutory consumer rights are provided and honored by the Company.

2. Definitions

· "Output": code, text, images and other content generated by the Service's AI models in response to your inputs · "Your Content": prompts, files and data you submit or upload · "Credits": prepaid units consumed when you use AI features; purchased Credits and free (bonus) Credits are distinct · "Published App": an app you make publicly runnable or list in the Gallery · "End-User Data": data a Published App collects from its visitors · "Withdrawal": statutory cancellation rights under applicable consumer law

3. The Service

The Service is a generative-AI-based service that builds, runs, shares and remixes web apps from natural-language conversation. Output is AI-generated and may vary between runs and may be inaccurate. We may change, add or remove features, AI models and providers at any time; some features differ by plan.

4. Accounts & Minimum Age

You must register with accurate information and keep your account and password secure. You must be at least 18 years old (or the age of majority where you live) to use the Service; by creating an account you represent that you meet this requirement. The Service is not directed to children, and we may suspend or delete accounts found to belong to anyone under 18. Purchases by minors require the consent of a legal guardian and may otherwise be voidable under applicable law.

5. Acceptable Use

You must not use the Service to: violate the law; infringe others' rights (copyright, trademark, likeness, privacy); create or distribute malware, phishing, spam or fraud; compromise systems, disrupt the Service, scrape without authorization or reverse-engineer; create content harmful to children, including child sexual abuse material; promote violence or hate; spread disinformation or interfere with elections; develop weapons; build or operate apps directed to children or collecting children's personal data without the consents required by law; build apps that collect sensitive personal data unlawfully; mine cryptocurrency; or violate the usage policies of our AI model providers. Do not rely on Output for high-risk purposes (medical, legal, financial, employment, safety-critical) without qualified human review.

We may (but are not obligated to) review, restrict or remove content or accounts in response to reports, provider requirements or legal demands; we do not undertake general monitoring. Report illegal or infringing content: support@collabby.ai

6. Output, Intellectual Property & Licenses

For Output generated using Company-managed provider accounts, we assign to you, to the maximum extent permitted by law, all right, title and interest (if any) we hold in that Output. Output generated with your own API key (BYOK) is governed by your own provider account and its terms. You acknowledge that: (a) AI-generated material with little or no human creative contribution may not be eligible for copyright protection in some jurisdictions, including Korea and the US; (b) the same or similar Output may be generated for others; and (c) we do not warrant that Output is original, non-infringing or accurate, and we do not indemnify you against third-party claims relating to Output.

The Service itself (software, design, trademarks) remains ours. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, run, display and transmit Your Content solely to provide, secure and maintain the Service. We do not use Your Content to train our own AI models; any future training use will require your separate opt-in consent. You grant us a perpetual, royalty-free license to use feedback you provide.

7. Published Apps, Gallery & End-User Data

By publishing an app or listing it in the Gallery, you authorize the Company and other users to view, run and fork (remix) it, to the extent of the rights you hold. If your Published App collects data from its visitors, you are responsible for a lawful basis, your own privacy notice to visitors, required consents, and handling their requests. Apps that collect children's or sensitive personal data are prohibited unless they meet all legal requirements. We store End-User Data on your behalf and will assist with access and deletion requests to the extent technically available.

8. Paid Services, Credits & Billing

Paid plans and Credits are priced in US dollars and billed via Lemon Squeezy, LLC as Merchant of Record. Credits are consumed based on the work performed each time you use an AI feature, regardless of whether you are satisfied with the result. Purchased Credits are valid for 12 months from grant; monthly subscription Credits are valid for the billing period (plus one rollover month). Validity and prices are shown at checkout.

Subscriptions renew automatically; you can cancel at any time from your account (your plan stays active until the end of the paid period, with no further charges). Before checkout we ask you to confirm the immediate-supply consent and withdrawal-limitation notice. If you use your own API key (BYOK), your AI usage is billed by your provider, not by us. For Team plans, seat additions are charged immediately on a prorated basis; seat reductions take effect at the next renewal (no mid-period refunds for seat reductions).

9. Withdrawal, Refunds & Cancellation

Nothing in these Terms limits any refund, cancellation or withdrawal right the law gives you.

Consumers in Korea: you may withdraw within 7 days of purchase (or of the start of supply, whichever is later) under the E-Commerce Act, Article 17. Where you consented at checkout to immediate supply and were notified of the limitation, withdrawal may not apply to Credits already consumed or subscription time already elapsed. Unused Credits and unstarted periods are refundable; we refund within 3 business days of your request, without penalty. If the content differs from what was advertised or agreed, you may withdraw within 3 months of supply or 30 days of learning of the discrepancy. Subscriptions of one month or longer may be terminated at any time with a pro-rata refund of the not-yet-supplied portion.

Consumers in the EU/UK: you may withdraw within 14 days of purchase. For Credits (digital content), the withdrawal right lapses only for the portion consumed after your express consent to immediate supply and acknowledgment of loss; unused Credits are refunded. For subscriptions (digital services), if you withdraw during the period we refund the price minus a proportionate amount for the service already provided.

To request a refund or withdrawal: support@collabby.ai (from your account email). Upon refund, Credits granted by that payment are reclaimed; we will not bill you separately for any portion already used.

10. Disclaimers

THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE". Output may be inaccurate, incomplete, outdated or may infringe third-party rights; you are solely responsible for reviewing, testing and validating Output before you use, deploy or publish it. AI data handling differs by provider: on the Company-managed paid (commercial) APIs of Anthropic, OpenAI and Google, inputs and outputs are not used to train their foundation models under those providers' policies (subject to limited abuse-monitoring retention and legal-hold obligations). With BYOK, your own provider terms apply. Warranties and remedies that cannot be excluded under applicable consumer law — including mandatory conformity remedies under EU Directive 2019/770 and Korean law — are not affected by this section.

11. Limitation of Liability

To the maximum extent permitted by law, our total liability arising out of or relating to the Service will not exceed the greater of US$100 and the amounts you paid in the 12 months before the claim, and we will not be liable for indirect, incidental, special or consequential damages, lost profits or lost data. This section does not apply to damages caused by our willful misconduct or gross negligence, or to any liability that cannot be excluded or limited under applicable law. If part of this section is unenforceable, the remainder continues to apply.

12. Changes, Suspension & Termination

We may change or discontinue parts of the Service and will give advance notice of material changes. We may remove content or suspend or terminate accounts for violations of these Terms, for legal or security risk, or at a model provider's requirement. You may delete your account at any time. On termination, unused Credits and refunds are handled under Section 9; personal data is deleted per our Privacy Policy, except records we must retain by law (e.g., contract and payment records for up to 5 years under Korean law).

13. Governing Law & Disputes

These Terms are governed by the laws of the Republic of Korea. If you are a consumer, nothing here deprives you of the mandatory protections of, or the jurisdiction of the courts of, your country of habitual residence. Disputes with consumers are resolved in the competent courts, not by mandatory arbitration.

14. Changes to These Terms

We may update these Terms. For changes that are material or unfavorable to you, we will give at least 30 days' notice (7 days otherwise) by in-service notice or email. Continued use after the effective date constitutes acceptance; if you do not agree to an unfavorable change, you may terminate before it takes effect.

These Terms apply from the date of publication.
